Availability
This course is available on the MSc in Law and Accounting, Master of Laws and Master of Laws (extended part-time study). This course is available with permission as an outside option to students on other programmes where regulations permit.
This course is capped at 75 students.
Course content
The course examines the legal issues arising out of the operation of the capital markets as intermediaries between investors and issuers; it focuses on the regulation of capital-raising through the markets. The topics covered include: disclosure theory; the role of trading markets in finance-raising and their regulation; prospectus disclosure; ongoing disclosure; market abuse; and the internationalization of capital-raising and harmonization. The course will focus primarily on English law. Course coverage may vary slightly from year to year.
Teaching
20 hours of lectures and 5 hours of seminars in the LT. 2 hours of lectures in the ST.
Teaching on this course takes the form of weekly two-hour lectures in weeks 1-5 and 7-11. A revision lecture will take place in week 1 ST. Week 6 is a reading week. 5 classes/seminars (of one-hour duration) will also take place as scheduled in the LL4K8 timetable.
Formative coursework
Students are asked to submit one 2,000 word essay in LT.

Assessment
Exam (100%, duration: 2 hours, reading time: 15 minutes) in the main exam period.
